Welcome to PUPS Software! These Terms and Conditions (“Terms”, “Agreement”) govern your access to and use of the PUPS Software platform, website, and related services (collectively, the “Services”), provided by Willetts Tech (“we,” “us,” or “our”).
By accessing or using our Services, including PUPS Inspections, PUPS Check In, and PUPS EHR, you (“User”, “Customer”, or “Organization”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Services.
1. Description of Services
PUPS Software provides a suite of practical, human-centered tools designed to assist organizations with facility and asset management, safety and compliance, and client/staff engagement. Our solutions are provided on a Software-as-a-Service (SaaS) basis. We reserve the right to modify, update, or discontinue certain features of the Services at any time without prior notice.
2. Account Registration and Responsibilities
To access our software, you must create an account. You agree to:

Maintain the security and confidentiality of your login credentials.

Promptly notify us of any unauthorized use of your account or any other breach of security.
You are responsible for all activities that occur under your account, including the actions of authorized staff members and employees granted access under your organization’s subscription.
3. Acceptable Use
You agree to use the Services only for lawful business purposes. You shall not:

Use the Services in any way that violates applicable local, state, national, or international laws or regulations (including HIPAA, if applicable, subject to a separate Business Associate Agreement).

Reverse engineer, decompile, or disassemble any part of PUPS Software.

Transmit any viruses, malware, or destructive code through the platform.

Attempt to gain unauthorized access to our systems, networks, or other user accounts.

Resell, lease, or sub-license the Services to third parties without our explicit written consent.
4. Subscription, Billing, and Payments

Fees: Access to certain features of PUPS Software requires a paid subscription. All pricing and payment terms will be outlined in your specific service agreement or on our checkout page.

Billing Cycle: Subscription fees are billed on a recurring basis (e.g., monthly or annually) depending on your selected plan.

Cancellations & Refunds: You may cancel your subscription in accordance with your service agreement. Unless otherwise specified in writing or required by law, subscription fees are non-refundable.
5. Intellectual Property Rights
All content, features, functionality, and underlying code of PUPS Software—including but not limited to the design, text, graphics, logos, and software architecture—are the exclusive property of Willetts Tech and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you a license or right to use our branding, logos, or intellectual property without our prior written permission.
6. Data Privacy and Security
We take the protection of your data seriously. Our collection, use, and handling of personal and organizational information is governed by our [Privacy Policy] (link to your privacy policy). By using our Services, you consent to our data practices as described in the Privacy Policy.
(Note: If you process protected health information via PUPS EHR, a separate Business Associate Agreement (BAA) may be required.)
7. Disclaimer of Warranties
PUPS Software is provided on an “AS IS” and “AS AVAILABLE” basis. While we strive to provide reliable and consistent service (inspired by our Chief Happiness Officer, Tucker!), we do not warrant that the Services will be completely uninterrupted, error-free, or completely secure. We disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, Willetts Tech and PUPS Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.
9. Termination
We reserve the right to suspend or terminate your access to the Services at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Services will immediately cease.
10. Governing Law
